Dissolving conditions in a Dutch purchase agreement: what they mean

When you buy or sell a home in the Netherlands, you will almost always come across the term dissolving condition (ontbindende voorwaarde) in the purchase agreement. For an international buyer this is unfamiliar but important Dutch contract law. Here is what it means and why it matters so much.
What is a dissolving condition?
A dissolving condition is a clause in the purchase agreement that gives the buyer or seller the right to cancel the purchase free of charge if a certain condition is not met. The purchase only goes ahead if the agreed conditions are fulfilled. If not, the agreement can be dissolved without a penalty being due.
Common examples
The most common dissolving conditions are: the financing reservation (the buyer can cancel if they cannot arrange a mortgage within the agreed term, usually four to six weeks), the structural survey (cancelling in case of unexpectedly high repair costs), the sale of the buyer's own home, and obtaining a permit for, for example, a renovation plan.
Deadlines and agreements
The agreement always sets a term within which a dissolving condition can be invoked. If the buyer withdraws after this date, a penalty may be due, usually ten percent of the purchase price. As a buyer, make sure you cancel clearly and in writing before this date, preferably by registered post and by email with a read receipt, and obtain confirmation from the seller that your cancellation has been received and accepted.
Practical tips
For buyers: check the duration of the reservation, ask for substantiation in case of a survey, and set clear deadlines. For sellers: make sure the term is reasonable (no more than six weeks), that any survey amounts are clearly agreed, that there are no vague or overly broad conditions, and that all deadlines and notification moments are recorded in writing.
